Use of any KPMG Shield Docs services, including the Shield Docs online workspace services, web portal, APIs, platform, services, applications, or modules that may be made available from time to time (collectively, "Services") provided by Shield Docs directly or via its resellers or partners ("Shield Docs") is subject to this Acceptable Use Policy ("Policy"). If there is a conflict between this Policy and the applicable agreement between You and Shield Docs ("Agreement"), the Agreement will prevail.
This Policy applies to anyone who uses the Services, including the legal entity or individual doing business with Shield Docs, and for clarity includes any reseller of the Services ("Customer"), and any third party permitted by the Customer to use or access the Services ("End Users"). Customers are required to inform End Users of this Policy. Customers and End Users are referred to in this Policy as "You".
You agree that you are responsible for the security of your log-in information, including ID and password, (“Log in Details”) and that you must take all reasonable steps to protect and secure that information and that you will not permit any other person to acquire or use that information except for Shield Docs personnel as may be necessary to support the use of the Services.
You agree that the Log-in Details are provided to You for your use only and must not be shared or used by any other person. You acknowledge that use by any person other than You is a breach of terms upon which access to the Services is provided by Shield Docs and may result in suspension or termination of the Services and/or additional fees being charged to the Customer.
You agree not to use, or encourage, promote, facilitate or instruct others to use the Services to:
commit or encourage fraudulent or other illegal activities in violation of any applicable law, regulation, legal agreement or Shield Docs's published policies;
infringe or misappropriate any copyright, trade mark or other intellectual property, proprietary right, licence right, or legal content protections;
use, store, share, host, copy, distribute, display, publish, transmit or send content that is or may be deemed offensive, inflammatory, hateful, defamatory, discriminatory, obscene, abusive, invasive of privacy, harmful to others, or otherwise objectionable (except to the extent that such content is the subject of legal proceedings in materials uploaded into the Workspace);
access or probe any network, computer or communications system, software application, or network or computing device systems ("Systems") without authorization, including but not limited to breaches, vulnerability scans or penetration testing;
attack, abuse, interfere with, surreptitiously intercept, or disrupt any users, Systems or services, including but not limited to Denial of Service (DoS), unauthorized monitoring or crawling, distribution of malware (including but not limited to viruses, Trojan horses, worms, time bombs, spyware, adware, or cancelbots);
distribute unwanted, unsolicited or harassing mass e-mail or other messages, promotions, advertising, or solicitations or other “spam”;
alter, forge or obscure mail headers or assume a sender's identity without the sender's express permission, nor collect replies to messages sent from another internet service provider if those messages violate this Policy or the acceptable use policy of that provider; and/or
disable, interfere with, abuse, disrupt, intercept, circumvent or otherwise violate the security of the Services.
You agree to keep all information you may access or otherwise discover using the Services confidential unless otherwise permitted by law.
You may only disclose personally identifiable information about other End Users of the Services that you first learn through your use of the Services for business purposes related to the transaction or project for which the Services are being used and subject to applicable privacy and data protection laws.
Shield Docs will only access and process End User data:
at the request or direction of the End User granted access to or authorised to use that data;
as directed by the Customer (and via which the End User is authorised to access and use the Services); or
as other required or permitted by applicable law.
Shield Docs has the right, but does not assume the obligation, to monitor and investigate violations of this Policy. Failure to comply with or breach of this Policy constitutes a material breach of the terms and conditions upon which You are permitted to use the Services and at any time may result in Shield Docs taking any and all actions in its sole discretion, including with immediate effect based on our reasonable judgment, up to and including:
warnings;
suspending or terminating access to the Services;
removing or prohibiting access to content that violates this Policy;
legal proceedings against You for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;
further legal action against You; and/or
disclosure of such information to law enforcement authorities as Shield Docs reasonably feels is necessary or appropriate.
KPMG Shield Docs excludes and disclaims all liability for actions taken in response to breaches of this Policy. The responses described in this Policy are not limited, and Shield Docs may take any other action it reasonably deems appropriate.
Shield Docs reserves the right to amend or modify this Policy at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we make, as they are legally binding on You. By using or accessing the Services, You are agreeing to this Policy.
